    These terms govern your use of the Joyan website and our professional services. Please read them carefully before engaging with us.

    Welcome to Joyan, a brand of Joyan Private Limited. By accessing or using our website at joyansolution.com or by engaging our services, you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, clients, and users of our services. If you do not agree with any part of these Terms, please do not use our website or engage our services.

    1. Acceptance of Terms

    By using this website or hiring Joyan for any project, you confirm that:

    • You are at least 18 years of age or have parental/guardian consent.
    • You have the legal authority to enter into a binding agreement on behalf of yourself or your organization.
    • All information you provide to us is accurate, current, and complete.
    • You will update your information promptly if it changes.
    • You have read, understood, and agree to these Terms in their entirety.

    We reserve the right to update these Terms at any time. Continued use of the website or our services after changes are posted constitutes acceptance of the revised Terms.

    2. Our Services

    Joyan provides the following professional services:

    Mobile App Development (iOS & Android)
    Web Development & Design
    E-commerce Solutions
    Digital Marketing & SEO
    3D Animation & Motion Graphics
    Custom Software Development
    UI/UX Design
    Technical Consulting

    All services are provided subject to a separate project agreement or Statement of Work ("SOW") that will specify deliverables, timelines, milestones, and pricing. In the event of any conflict between these Terms and a project SOW, the SOW shall prevail for that specific project.

    3. Payment & Billing

    Project Deposits

    All projects require a deposit (typically 30–50% of the total project cost) before work begins. The exact deposit percentage will be specified in your project agreement.

    Milestone Payments

    For larger projects, remaining payments are structured around agreed milestones. Work on the next milestone will not begin until the current milestone payment is received.

    Final Payment

    The remaining balance is due upon project completion, before final deliverables, source code, or deployment credentials are handed over.

    Late Payments

    Invoices unpaid after 14 days of the due date may incur a late fee of 1.5% per month. We reserve the right to pause work on any project with outstanding invoices.

    Refund Policy

    Deposits are non-refundable once work has commenced. Refunds for milestone payments may be considered on a case-by-case basis if work has not yet been delivered.

    4. Intellectual Property

    Client Content

    You retain full ownership of all content, assets, branding, and intellectual property you provide to us. By sharing these materials, you grant Joyan a limited, non-exclusive licence to use them solely for the purpose of delivering your project.

    Delivered Work

    Upon receipt of full payment, all custom deliverables created exclusively for your project are transferred to you. This includes source code, design files, and custom assets.

    Third-Party Components

    Projects may incorporate open-source libraries, fonts, stock assets, or third-party APIs. These components remain subject to their respective licences and are not transferred as part of the project. We will disclose all third-party components used.

    Portfolio Rights

    Unless explicitly requested otherwise in writing, Joyan reserves the right to showcase completed projects in our portfolio, case studies, and promotional materials.

    5. Prohibited Use

    You agree not to use our website or services for any of the following:

    • Any unlawful purpose or in violation of applicable local, national, or international law.
    • Developing products or services that promote illegal activity, hate speech, or harm to individuals.
    • Scraping, crawling, or data-mining our website without written permission.
    • Transmitting viruses, malware, or any other harmful or disruptive code.
    • Impersonating Joyan, our team members, or any other individual or entity.
    • Attempting to gain unauthorized access to any portion of our systems or infrastructure.
    • Engaging in any conduct that restricts or inhibits other users from using our website.
    • Using our services to build direct competitive tooling without prior written consent.

    Violation of any of the above may result in immediate termination of services and potential legal action.

    6. Limitation of Liability

    To the maximum extent permitted by applicable law, Joyan and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or related to:

    • Your use of, or inability to use, our website or services.
    • Any errors or omissions in any content on our website.
    • Unauthorized access to or alteration of your data.
    • Third-party services, APIs, or platforms used within a delivered project.
    • Delays caused by client-side factors (late content delivery, approvals, feedback).

    Maximum Liability Cap: Our total cumulative liability for any claim arising under these Terms shall not exceed the total fees paid by you to Joyan in the three (3) months preceding the claim.

    7. Termination

    Either party may terminate a project engagement with written notice (email acceptable) subject to the following:

    Client Termination

    You may cancel a project at any time. All work completed to date will be invoiced and must be paid. Deposits and milestone payments already made are non-refundable.

    Our Termination

    We may terminate our services if payment obligations are not met, if the project scope violates these Terms, or if the working relationship becomes untenable.

    Handover

    Upon termination, we will deliver all completed work assets upon receipt of outstanding payment. Source files for incomplete work are not released.

    Survival

    Sections on Intellectual Property, Limitation of Liability, and Governing Law survive termination of these Terms or any project agreement.

    Governing Law & Disputes

    These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration before any legal proceedings are initiated.

    Disclaimer of Warranties

    Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding specific business outcomes from our services.
